In year 2000, MetLife's management defrauded MetLife policyholder/owners by soliciting votes for their plan of demutualization. This demutualization plan and its implementation amounted to a breach of contract. Participating policyholders have contractual rights to "insurance at cost". In its prospectus, MetLife omitted material information and made false representations in an effort to legitimize its intention to abrogate its obligation to provide insurance at cost.
